Sloud UB Composer License Agreement

THIS AGREEMENT IS A LEGAL DOCUMENT. READ IT CAREFULLY BEFORE
COMPLETING THE INSTALLATION PROCESS AND USING SLOUD UB COMPOSER. IT PROVIDES
A LICENSE TO USE UB COMPOSER. BY INSTALLING AND USING THE SOFTWARE, YOU
ARE CONFIRMING ACCEPTANCE OF THE SOFTWARE AND AGREEING TO BECOME BOUND
BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT WISH TO DO SO, DO NOT
COMPLETE THE INSTALLATION PROCESS.
1. License for trial version

Regarding unregistered trial version of UB Composer this Agreement
allows you to:

(a) use trial version of UB Composer until it will be registered.

(b) free distribute trial version with exception of its distribution
in company with or inside of any other software package without
written permission of copyright owner.
2. Register

To register you have to choose Register UB Composer in the Help menu of
UB Composer and follow the online register instruction.
3. License for registered copy

Regarding registered version of UB Composer this Agreement allows you
to:

(a) install and use UB Composer on a single computer and make one copy
of UB Composer in computer readable form solely for backup purposes.
You must reproduce on any such copy all copyright notices and any
other proprietary legends on the original copy of UB Composer. The
registered copy of UB Composer may not be rented or leased, but may be
transferred, in its entirety, if you agree to the terms of this
license. If UB Composer is an update, the transfer must include the
update of all its previous versions.

(b) install UB Composer on a storage device, such as a network server,
and run UB Composer on an internal network, provided the number of
concurrent users does not exceed the number of copies of UB Composer
purchased. A copy of the UB Composer must be purchased for each such
user.

(c) make copies of output musical files generated by you using
UB Composer, use and distribute those copies without any restrictions
to the exclusion of copyright violation case of any third party.
3. Licenses restrictions

Other than as set forth in Sections 1 or 3, you may not make or
distribute copies of UB Composer, or electronically transfer UB Composer
from one computer to another or over a network. You may not decompile,
reverse engineer, disassemble, or otherwise reduce UB Composer to a
human-perceivable form. You may not rent, lease or sublicense
UB Composer. You may not modify UB Composer or UB Composer''s algorithms
or create derivative works based upon UB Composer. Any such
unauthorized use shall result in immediate and automatic termination
of this license and may result in criminal and/or civil prosecution.
4. Upgrades

If this registered copy of UB Composer is an upgrade from an earlier
registered version of UB Composer, it is provided to you on a license
exchange basis. You agree by your installation and use of this copy of
UB Composer to voluntarily terminate your earlier end-user license and
that you will not continue to use the earlier registered version of
UB Composer nor transfer it to another.

5. Technical support

The technical support is available from manufacturer or its authorized
resellers under their standard support policies for those who have
purchased registered copies of UB Composer. For further information,
please refer to http://www.sloud.com.

6. No warranty

THIS SOFTWARE PRODUCT COMES WITH NO WARRANTY, AND IS PROVIDED ON AN
"AS IS" BASIS. YOU ASSUME THE ENTIRE COST OF ANY DAMAGE RESULTING FROM
THE INFORMATION CONTAINED IN OR PRODUCED BY THIS SOFTWARE PRODUCT. YOU
ASSUME ALL RESPONSIBILITIES FOR SELECTION OF THIS SOFTWARE PRODUCT TO
ACHIEVE YOUR INTENDED RESULTS, AND FOR THE INSTALLATION OF, USE OF,
AND RESULTS OBTAINED FROM IT. TO THE MAXIMUM EXTENT PERMITTED BY
APPLICABLE LAW, MANUFACTURER, ITS SUPPLIERS AND OTHERS WHO MAY
DISTRIBUTE THIS SOFTWARE PRODUCT DISCLAIM ALL WARRANTIES, EITHER
EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, CONFORMANCE WITH
DESCRIPTION, AND NON-INFRINGEMENT, WITH RESPECT TO THIS SOFTWARE
PRODUCT.

7. Disclaimer

UB COMPOSER''S REGISTERED COPY SERIAL NUMBER AND USER''S REGISTRATION
INFORMATION SHOULD NOT BE DISTRIBUTED OUTSIDE OF THE CONTROL AREA OF
THE PERSON WHO PURCHASED THE LICENSE.

IN NO EVENT SHALL MANUFACTURER BE LIABLE FOR ANY LOSS OF DATA, LOST
PROFITS, OR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY
DAMAGES, EVEN IF MANUFACTURER HAS BEEN ADVISED OF THE POSSIBILITY OF
SUCH DAMAGES AND NOTWITHSTANDING THE FAILURE OF ESSENTIAL PURPOSE OF
ANY LIMITED REMEDY PROVIDED HEREIN.
